Terms and Conditions – Rapid Flow Solutions Ltd.

1. Acceptance of Terms

By accessing and using the services of Rapid Flow Solutions Ltd. (“the Company”), including equipment hire and related services, you (“the Client”) agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

2.¹ Equipment Hire

• 2.1 Rental Agreement: All equipment rentals are subject to a separate Rental Agreement, which will detail specific terms, rental periods, and rates.
• 2.2 Equipment Condition: The Client acknowledges that the equipment is rented in good working condition. Any pre-existing damage must be reported to the Company immediately upon receipt.
• 2.3 Equipment Use: The Client agrees to use the equipment only for its intended purpose and in accordance with the manufacturer’s instructions and all applicable laws and regulations.
• 2.4 Equipment Return: The Client is responsible for returning the equipment in the same condition as received, reasonable wear and tear excepted. Failure to do so may result in additional charges.

3. Payment Terms

• 3.1 Rental Rates: Rental rates are as specified in the Rental Agreement.
• 3.2 Payment Schedule: Payment is due according to the schedule outlined in the Rental Agreement. Late payments may incur penalties.
• 3.3 Security Deposit: A security deposit may be required and will be refunded upon return of the equipment, subject to any deductions for damages or unpaid charges.

4. Client Responsibilities

• 4.1 Operator Qualifications: The Client is responsible for ensuring that all operators are qualified and licensed to operate the rented equipment.
• 4.2 Equipment Maintenance: The Client is responsible for routine maintenance during the rental period, such as checking fluid levels and tire pressure.
• 4.3 Insurance: The Client is responsible for obtaining and maintaining adequate insurance coverage for the rented equipment.
• 4.4 Permits and Licenses: The Client is responsible for obtaining all necessary permits and licenses required for the use of the rented equipment.

5. Company Responsibilities

• 5.1 Equipment Maintenance: The Company is responsible for major maintenance and repairs, provided the equipment is used as intended.
• 5.2 Equipment Delivery and Pickup: The Company will arrange for delivery and pickup of the equipment as agreed in the Rental Agreement.

6. Limitation of Liability

• 6.1 Disclaimer: The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use² the rented equipment.
• 6.2 Maximum Liability: The Company’s maximum liability shall not exceed the total amount paid by the Client under the Rental Agreement.

7. Indemnification

• The Client agrees to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, damages, or liabilities arising from the Client’s use of the rented equipment.

8. Termination

• 8.1 Company Termination: The Company may terminate the Rental Agreement if the Client breaches any term or condition.
• 8.2 Client Termination: The Client may terminate the Rental Agreement with prior written notice, subject to any applicable cancellation fees.

9. Force Majeure

• Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable³ control, including but not limited to acts of God, natural disasters,⁴ and government regulations.

10. Governing Law

• These Terms and Conditions shall be governed by and construed in accordance with the laws of Zambia.

11. Dispute Resolution

• Any disputes arising from these Terms and Conditions shall be resolved through amicable negotiation. If negotiation fails, disputes shall be resolved through arbitration in accordance with the laws of Zambia.

12. Amendments

• The Company reserves the right to amend these Terms and Conditions at any time. Any changes will be posted on the Company’s website.⁵

14. Entire Agreement

• These Terms and Conditions, together with the Rental Agreement, constitute the entire agreement between the Client and the Company.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
